（以下简称“出版方”）wherebyitismutuallyagreedasfollowsregardingthework(s)entitled:按此协议，双方就作者为JoEllenBogart，插画作者为LauraFernandez和RickJacobson的《米爷爷学认字》达成协议。 (eachtitlehereinaftercalledtheWork)（以下简称“作品”）WHEREBY,ProprietorsandPublishersagreethat:按此协议，版权方与出版方就以下条款达成协议：1.1 RIGHTSGRANTED&TERRITORY:TheProprietorsherebygranttothePublisherstherighttotranslate intotheChineselanguageSIMPLIFIEDCHARACTERSONLYandtoprint,publishandsell,atthePublishers'ownexpense,theWorkinTRADEHARDCOVERFORMONLYexclusivelyinthefollowingterritory,subjecttoallthetermsandconditionsofthisAgreement:MainlandofChinaonly.1．1版权许可及使用范围：按此协议，版权方仅授予出版方翻译此书为中文简体版本，并自行承担印刷、出版和销售的费用。遵照本协议的所有条款和条件，此专有出版权的作品仅允许在中国大陆出版精装本。 1.2 TERM:ThisAgreementcoversaperiodoffive(5)yearsfromagreementdate. Onexpirationofthislicense,allrightshereingrantedreverttotheProprietorswithoutfurtherwrittennotice.1．2条款：本合同有效期为签约之日起5年。合同到期时，无需书面通知，合同提到的所有权利自动返还版权方。 2. RIGHTSRESERVED:AllrightsnotspecificallygrantedtothePublishersherein,withoutlimitation,arereservedtotheProprietors.2．保留权利：本合同没有明确授予出版方的所有权利，毫无限制地归版权方所有。
3. WARRANTY:TheProprietorswarrantthattheycontroltherightstotheentireWorkconveyedhereinandgrantedtothePublishersandthattheyhavethefullpowertomakethisAgreement.3．保证：版权方保证持有本合同中的转让作品的权利，并授予出版方，版权方也保证有能力执行本合同。 4. ASSIGNMENTOFRIGHTS:ThisAgreementandtherightsherebygrantedmaynotbeassignedortransmittedinwholeorinpartbythePublisherseithervoluntarilyorbyprocessoflawandthetranslationoftheWorkmaynotbeissuedunderanyimprintotherthanthePublishers'own,asstatedabove,withoutthepriorwrittenconsentoftheProprietors.4．权利转让：不论是自发或是通过法律程序，出版方均不可将本合同以及合同中授予的权利全部或部分转让。作品的译作未经版权方书面允许，如上所述，不可发表在出版方署名之外的地方。 5.1 ROYALTYANDADVANCE:ThePublishersshallpaytotheProprietorsonsignatureofthisAgreementanon-refundableadvanceofUS$1,000.00inUnitedStatesdollarsagainstthefollowingroyalty,basedonthePublishers'currentretaillistprice,onallcopiessold:6%for1-5,000copiessold;7%for5,001-10,000copiessold;and8%onallcopiessoldthereafter.5．1版税及预付：出版方应预付合同中署名之版权方1,000.00美国美元，此预付金不可退还。现列出如下版税：依据出版方目前的零售价格表，基于所售册数：售1－5，000册税率6％；售5，001－10，000册税率7％；售10，000册以上税率8％。 TheAdvancepayment,ifnotearnedoutbeforethisAgreementexpirydate,shallnotbetransferredorextendedtotheRenewalofthisAgreement.本合同期满前若未能付梓，预付款不应转交或延伸给本合同的补充条款。
RoyaltiespayablebythePublisherstotheProprietorsshallbebasedon100%retaillistprice. NoroyaltiesarepayableoncopiesdistributedfreetothePressorforpublicityorforthereplacementofdamagedcopiesbutthenumberofsuchcopiesfreeofroyaltyshallnotexceedfourpercent(4%)ofallcopiessold.出版方应付版权方的版税应依据100％零售价格表。为宣传而免费送给出版社或为替换损坏书册的，可不付版税，但免费书册数不得超过销售册数的4％。 5.2 ACCOUNTING:ThePublishersshallaccounttotheProprietorsonprintings,sales,andearningsSEMI-ANNUALLYasofthe30thdayofJuneandthe31stdayofDecemberineachyearandwillmakefullsettlementoftheaccountwithinninety(90)daysthereafter. AllpaymentsrequiredtobemadebythePublisherstotheProprietorsshallbemadepromptlytotheProprietors.FailuretorendersuchaccountingandsettlementshallcauseautomaticterminationofthisAgreementandimmediatereversiontotheProprietorsofallrightsgrantedhereinwithoutprejudicetoanyclaimwhichtheProprietorsmayhavefordamagesorotherwiseassetforthinClause12hereof.Royaltyreportsshallnoteindetail:5．2账目核算：出版方应在印刷、销售和半年收益方面遵守版权方规定，即每年6月30日和12月31日后90天内，完全结算账目。出版方应付版权方的所有应付款项应及时支付。未能结算，合同将自动中止，无需发表任何声名，本合同提及之所有权利立即返还版权方，并毫无疑义地承担任何可能对版权方造成的损失，否则执行12条中相关条款。 版税报告应记录： -thenumberofcopiesprinted;andthecumulativetotalprintings印数；及附加印数-thenumberofcopiesspoiled;andthenumberofcopiesgivenawayforPressandforpublicity
损坏册数；及赠送出版社为宣传使用的册数-thenumberofcopiessold;andthecumulativetotalsales销量；及附加总销量-whenthePublishers'editionisoutofprint出版方脱销日期 5.3 AUDIT:Ifsorequested,thePublishersagreetoallowtheProprietorstoauditthePublishers'booksofrecordrelatingtotheWorkinordertoverifyroyaltyaccountingandprintingstatements.5．3审核：若有要求，出版方允许版权方为证实版税账目和印制报告，审核出版方与此作品有关的档案册。5.4 TAX:ShouldthePublishersbylawberequiredtodeducttaxfromanysumsduetheProprietorsunderthisAgreementthePublishersshallprovideawrittendeclarationtothiseffectwiththerelevantstatementofaccountshowingtheamountdeducted. ThePublisherswillprovidetheProprietorswithofficialtaxreceiptsfromtherelevanttaxauthoritiesasevidenceofsuchpayments. Failuretodosowillbeabreachofthiscontract.5．4税款：若出版方依法从总应付金额中扣除税款，依据本合同，出版方应提供一份书面声明，注明扣税数额。出版方提供正式税款收据作为证据。未能做到的将视为违约。 5.5 REMAINDERING:ThePublishersmayremaindertheWorkandshallpaytotheProprietorstenpercent(10%)oftheamountreceivedexceptthatnoroyaltiesshallbepaidonanycopiessoldatorbelowcostofmanufacture,provided,however,thatnosuchremaindercopiesoftheWorkshallbesoldwithinathree(3)yearsperiodfromthedateoffirstpublicationbythePublishers. ThePublishersshallhavesix(6)monthstoselloffallcopiesoftheireditionoftheWorkontheexpirationofthetermofthisAgreement. AllsuchsalesaretobesubjecttoroyaltypaymentsstipulatedhereinandthePublishersarerequiredtoaccounttothe
Proprietorsforallsuchsalesandprovidewrittennotificationwhenallcopieshavebeensold. Intheeventthatstockstillremainsafterthesix(6)monthsselling-offperiod,thePublishersarerequiredtodestroyallremainingcopies.5．5降价销售：出版方可降价销售作品，应付给版权方总收入的10％，任何书册以成本价或低于成本价售出，无需版税。若作品未降价销售，应从出版方第一次出版之日起售卖3年。合同期满之日起，出版方有6个月降价售完其所有图书。 此种销售行为应遵循本合同之版税支付规定，出版方的销售行为应遵照版权方，并提供书面脱销通知。6个月降价销售后仍有库存，出版方应销毁所有剩余图书。 6.1 PUBLICATION:ThePublishersshallpublishthetranslationoftheWorkwithin12monthsofthedateofthisAgreementandthenumberofcopiestobeprintedshallnotbelessthan5,000. IfthePublishersfailtoissuethetranslationoftheWorkwithintheperioddetailedallrightsgrantedinthisAgreementshallreverttotheProprietorsforthwithandtheadvancepaymentprovidedforinClause5.1hereinshallbeforfeitedwithoutprejudicetoanyclaimwhichtheProprietorsmayhavefordamagesorotherwise.6．1出版：出版方应在签约之日起12个月内出版译作，印数不得少于5，000册。若出版方未能在规定时间内发行译作，所有本合同中的授权返还版权方，条款5.1条提到的预付款将被扣留，出版方并毫无疑义地承担任何可能对版权方造成的损失. 6.2 PUBLICATIONDATE:PromptlyonthedateofpublicationofthePublishers'translationoftheWork,butinnoeventlaterthanten(10)daysthereafter,thePublishersshallnotifytheProprietors,inwritingofsaiddateofpublication.6．2出版日期：出版方应尽快将出版日期书面通知版权方，不得晚于出版之日后10天。
6.3 COMPLIMENTARYCOPIES:OnpublicationthePublishersshalldispatchtotheProprietorsten(10)freecopiesofthetranslatedWork. TheProprietorsshallhavetherighttopurchasefurthercopiesfortheirownuseatthebesttradediscount.6．3免费赠送：出版后，出版方应免费分发10册译作给版权方。版权方有权以最低折扣购买更多图书。 7. PROPRIETORS'APPROVAL:ThePublishers,ifrequestedtodoso,shallsubmitthetranslationoftheWorktotheProprietorsforapprovalbeforepublication,andinthateventthePublishersshallnotproceedwiththeprintingofthetranslationoftheWorkuntiltheyhavereceivedsuchapprovalinwriting. TheProprietorsshallnotunreasonablywithholdordelaytheirapproval. BARDON-CHINESEMEDIAAGENCY,isauthorizedtocheckallcopyrightnotices,titlepages,andcoversbeforethePublishersproceedwithprinting. 7．版权方的许可：若有要求，出版方需提交译作给版权方，以获得出版许可。在这种情况下，出版方收到书面许可通知前，不应继续印刷译作。版权方不得毫无理由地推迟许可。在出版方继续印刷前，BARDON-CHINESEMEDIAAGENCY被授权审核所有版权信息、扉页和封面。 8.1 TRANSLATION:ThePublishersagreethatthetranslationoftheworkistobefaithfullyandaccuratelymade,withoutchangeinthethemeorsubstanceoftheWork,exceptasmaybedeemednecessarytopermitlawfulpublicationthereof,andshallretainthespiritoftheWorkinsofarasmaybepracticable. ThePublishersfurtheragreethatanydeviationfromthestandardprescribedbythefirstsentenceofthisparagraphshallrequiretheexpresswrittenconsentoftheProprietors.8．1翻译：出版方保证作品的翻译忠实准确，除为达到合法出版目的外，不变更原作的主题和主旨，并应在可执行的范围内保持原作之精神。出版方还应同意，任何背离本条第一句规定之处，应申请得到版权方的书面许可。
8.2 UNLAWFULCONTENTS:ThePublishersabsolvetheProprietorsfromanyliabilityarisingfromthepublicationofthetranslatedWork,butifintheopinionofthePublisherstheWorkcontainsanymatterwhichisatanytimelibelousorotherwisecontrarytolaw,orwhichinfringesuponanyexistingcopyright(s),thenthePublishersmaysubmittotheProprietorsawrittenrequesttoremovesaidmatterfromthetranslationofthework. IfthePublishersreceivefromtheProprietorsawrittenconsenttosaidsubmittedrequest,saidmattermayberemovedbythePublishersfromthetranslationoftheWork.8．2非法内容：出版方免除版权方的任何译作出版责任。但在出版方看来，作品包含任何损害他人名誉的或其它违法之处，或违反任何现行版权法的，出版方可向版权方递交一份从译作中删除此类内容的书面请求。出版方收到版权方的书面许可，此类内容才可从译作中删除。 8.3 ADVERTISEMENTS:AdvertisementsmaynotbeprintedorinsertedinanyeditionoftheWorkwhetherissuedbythePublishersorbyitssublicensee,withouttheProprietors'priorwrittenconsent.8．3广告：未经版权方书面许可，不管是出版方还是其分支机构都不得在任何版本的译作中刊印广告。 8.4 PERMISSIONS:ThePublishersunderstandtherightstouseorprintartworks.Illustrations,andphotographs,containedwithintheWorkoronitscoversand/orjacketsarenotconveyedinthisAgreementunlessspecificallystated. ThePublishersaresolelyresponsibleforobtainingrightsinsuchmaterialsfromthecopyrightholder.8．4许可：出版方了解使用或印刷艺术作品的权利，若非明确注明，本作品中或其封面和封套中的插图和图片不在转让之列。出版方对从版权持有者获得的权利负单一责任。 8.5 ThePublishersagreetopayUS$210.00forCD-Romfeeincludingshippingfeeandtax.
8．5出版方同意支付210.00美元CD-Rom费用，包括其航运费和税款。 9.1 COPYRIGHTPROTECTIONOFTRANSLATION:ThePublisherswillnotdoanyactorpermitanyacttobedonewhichwillcauseinfringementoftheProprietors'copyrightorwhichwillcausethetranslationoftheworktovestinthepublicdomaininanycountryinwhichthePublishers'editionwillbecirculated. IntheeventthattheProprietors'copyrightisinfringedbyanyparty,thePublishersagreetoimmediatelynotifytheProprietorsandwillmakeeveryefforttoterminatethecopyrightinfringement.9．1翻译的版权保护：出版方不应做出或允许做出任何引发侵犯版权方版权，或引发作品译文流传到译作可能传播到的任何国家的公开领域的行为。若版权方版权被任一方侵害，出版方应立即通知版权方，并尽可能中止版权侵害。 9.2 TITLES:ThePublishersundertakestoprintineverycopyofthetranslationoftheworkpublishedbythemthename(s)oftheauthor(s)oftheWorkassetforthbelow. PublishedbyarrangementwithScholasticCanadaLimitedALLRIGHTSRESERVED AnysublicenseeisrequiredtoprinttheabovecopyrightnoticeinaprominentplaceonitseditionsoftheWork. OUTOFPRINT:IntheeventthePublishersgivenoticetotheProprietorsthatthedemandforthePublishers'translationoftheWorkhasceased,orifthePublishersallowtheWorktogooutofprintoroffthemarketandfailtoissueaneweditionwithinsix(6)monthsafterreceiptofwrittennoticetodosofromtheProprietors,thentheProprietorsshallhavetheoptiontoterminatethisAgreement,suchoptiontotakeeffectupondispatchbytheProprietorstothePublishersofwrittennoticeofProprietors'desiretosoterminate. ForthepurposesofthisAgreement,thetermOUTOFPRINTalsoappliesifthePublishers'stockoftheWorkis100copiesorless.10．脱销：出版方通知版权方作品翻译的需求停止，或出版方承认作品脱销，而又未能在收到版权方书面通知6个月内发行新版本，则版权方有权选择中止合同。中止合同的选择在版权方书面通知出版方后生效。出版方的库存为100本或更少时，也视为“脱销”。 11. VALIDITYOFAGREEMENT:ThisAgreementisnotvaliduntilithasbeensignedbybothpartiesanduntiltheProprietorsareinreceiptoftheadvancepaymentsetforthinClause5.1.11．合同有效性：本合同双方签字后方可生效，版权方收到5.1条中提到预付款后方可执行。
12.1 TERMINATION:ShouldthePublishersbedeclaredbankrupt,orshouldapetitionbepresented,orameetingconvenedforthepurposeofmakinganadministrativeorderforthewindingupordissolutionofthePublishers,orshouldthePublishersbreachanyofthetermsofthisAgreementandnotrectifysuchbreachwithinone(1)monthofhavingreceivedwrittennoticeoftheProprietorstodoso,thenallrightsgrantedunderthisAgreementshallreverttotheProprietorsforthwith. AnysuchreversionshallbeconsideredaterminationofthisAgreementwhichshallbewithoutprejudicetoanyclaimwhichtheProprietorsmayhavefordamagesorotherwiseandwithoutprejudicetoanymoniesalreadypaidorthenduetotheProprietorsfromthePublishers. IntheeventofterminationofthisAgreement,foranyreason,thePublishersshallremainobligatedtoeffectpaymentstotheProprietorsasrequiredunderthetermssetforthherein.12．1中止：若出版方宣布破产，或已提出诉状，或提出召集为制定停业命令的会议，或出版方违反合同条款，而未于收到版权方书面通知一个月内更正，则所有合同中的授权将立即返还版权方。权利返还视为合同中止，出版方应毫无疑义地赔偿任何可能对甲方造成的损失,并毫无疑问地支付应付款项。合同中止情况下，出版方有责任依据本合同条款尽力付清所有款项。 12.2 IfthePublishersselllessthan300copieswithinany12monthsperiod,theProprietorscanattheirownwillterminatetheAgreementwithwrittennoticetothePublishers.12．2若出版方在任意12个月的时间内销售少于300册，版权方可依据自己的意愿，通过书面通知中止合同。 13. COMMUNICATIONS:AllnoticesshallbesentbyairmailorothersuitablemeanstotheaddresslistedintheAgreement.13．通讯：所有条款应通过航空邮件或其他适宜之途径送达合同中列出的地址。
14. ENTIREAGREEMENT:ThetermsandconditionshereincontainedconstitutetheentireAgreementbetweenthepartiesandsupersedeanyandallpreviouscommunicationsandunderstandings,whetheroralorwritten,betweenthepartiesheretowithrespecttothesubjectmatterofthisAgreement.
