SHARETRANSFERAGREEMENTPartyA:PartyB:PartyC:IDNO:Address:WhereasPartyAlegallyowns%sharesofCo.Ltd.,whichisregisteredWhereas,registeredinonthedateof..WhereasPartyAintendstosellthelegally-owned%sharesof.WhereasPartyBistheshareholderofthecompany,theyhavecertainpreemptiverightstobuythesharestransferredbyPartyA,butPartyBhasgivenupthepreemptiverights.WhereasPartyCintendstobuythewholesharesofheldbyPartyA,adheringtotheprincipalsofequalityandmutualbenefit,thepartieshavereachedthefollowingagreement(the“contract”)afterfriendlyconsultationsregardingthesharetransfermatters:1.PriceoftheSharesAfterhavinggottentheconsentofeveryparty,subjecttothetermsandconditionsintheAgreement,PartyAherebyagreesthatitwilltransferandconveytoPartyCthewholesharesofCompanyatthepriceofandPartyCagreestopurchasethewholesharesofheldbyPartyAatthisprice.2.WarrantiesPartyArepresentsandwarrantstoPartyCthatitlegallyownstheSharessubjecttoArticle1,aswellastherighttodealwiththesharesentirelyandeffectively;andthatpriortoanytransferitwillobtainallnecessaryconsentssuchthatthesharescanbetransferredtoPartyCattheeffectivetimeofthetransfer,freeandclearofallliensandencumbranceswhatsoever.PartyCconsentstopayPartyAthepurchasepriceofRMBrespectivelybefore
,topurchasethesaidreceivableatthisprice.1.AllocationofShareholder’sRightsandIndebtednessTheContractshallbesignedbythelegalrepresentativesandauthorizedpeopleofallparties.ItshallbecomeeffectiveafterPartyBoritsdesignatedagenthavewaivedtheirpreemptiverights.UpontheAgreementbecomingeffective,PartyCwillsucceedtoanybenefitsofanditssubsidiaryaswellastoanyrisksandlosses(includingtheshareholderrightsandobligationsintheCompanybefore,duringandafterthetransferoftheshares).AtthesametimePartyAwillnolongertakeanyresponsibilitiesorberesponsibleforanyprofits,lossesorindebtednessofanditssubsidiary,includingthosewhichoccurredbefore,duringorafterthesharetransfer.UpontheAgreementbecomingeffective,PartyCwouldbeentitledtoexercisetherightsoftheshareholdersincompanyaswellastakefullobligations.PartyAwarrantsthatapartfromitsinvestmentintheCompany,hasnootherbusinessoranyotherassetsorliabilities.2.ShareTransferArrangementandCostPartyAshallhelptochangetheshareholderregistrationofcompany.AnyrelatedcostshallbebornbyPartyA.UpontheAgreementbecomingeffective,thenameoftheCompanyshallbechangedbyPartyCtoexcludeand/orfromitsname.Allthenecessarychangesneededduetothesharetransferofcompanyregardingthedirectors,chairmanoftheBOD,legalrepresentative,name,etc.oftheCompanyshallbecarriedout,byPartyCandalltherelevantcostshallbebornbyPartyC.Inaddition,PartyCwarrantsthatallthechangesshallbecompletednolaterthan,.PartyAshallnotchangetheshareholderregistrationofuntilPartyCcompletethechangesitisobligatedtofulfillandPartyAconsentsthatthechangeofshareholderregistrationofcompanyshallbefinalizednolaterthandaysafterPartyCgetstheapprovalfromthegovernmentauthoritiesonthechangesitisexpectedtobecardedout.3.TheCompany’sManagementandConfidentialityObligationPartyCaswellasothermembersofthemanagementteamoftheCompanyarebothliableforthenormaloperationoftheCompany’sbusinessandthemaintenanceoftheCompany’sinterestandbenefitafterthesignatureoftheAgreement.Ifanyactionoccurswhichisconflicting
tothetermsandconditionsoftheAgreement,orifanyactionoccurswhichisharmfultotheCompanyortothebenefitsofPartyA,orPartyB,theneitherPartyAorPartyBhastherighttoterminatetheAgreement.WhereofanyresultscausedfromtheaboveactionshallbebornebyPartyC.NopartyhereinshalldisclosetoanythirdpartyanyinformationincludedintheAgreement.Incaseanyinformationisreleasedandresultsindamagestothebenefitsofthecompanyortheotherparty,thepartywhoseconfidentialityisbreachedhastherighttoterminatetheAgreement,aswellastocompensationduetothebreachoftheconfidentialityobligation.1.BreachResponsibilityIncaseanypartyintheAgreementcannotperformappropriatelyandcompletetheobligationsinaccordancewiththeAgreement,thepartyshallbeartheresponsibilityforthebreach.IncaseanypartyoftheagreementcouldnotfulfillitsobligationwithindaysaftertheduedatespecifiedinthisAgreement,thenon-breachingPartyhastherighttoperformtherescissiontotheAgreement.AnylossincurredfromtherescissionoftheAgreementshallbebornebythebreachingparty.2.ApplicationLawandSettlementofDisputesTheContractshallbeprotectedandgovernedbytherelatedlawsofthePeople’sRepublicofChina.AllthedisputesarisingfromtheexecutionoftheAgreementorrelatedtotheAgreementshallbesettledthroughfriendlyconsultationsbytheparties.Incasenosettlementthroughconsultationcanbereached,thedisputesshallbesubmittedtoarbitrationcommission.Thearbitrationawardisfinalandbindinguponbothparties.3.MiscellaneousThetextoftheAgreementhasbeenexecutedinfouroriginals.EachPartyshallkeeponecopyofthetextandtheCompanyshallkeeponecopy.TheAgreementissignedbytheauthorizedrepresentativesofthepartieson.PartyA:(Signature/Seal)PartyB:(Signature/Seal)
